1. Agreement and provider
These Terms of Service ("Terms") govern access to and use of the Renewal Vista website and hosted software service (the "Service").
The Service is provided by Lob Labs LLC, a Minnesota limited liability company based in Scott County, Minnesota ("Lob Labs," "we," "us," or "our"). Renewal Vista is a product of Lob Labs LLC.
By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent (the "Customer"). If you do not agree, do not use the Service.
2. Service
Renewal Vista is a hosted software service for organizing, tracking, reviewing, and managing business renewal information. Depending on the plan, the Service may provide renewal tracking, document storage, reminders, file and document Intake, inbound email Intake, reporting, and related features.
Features and availability may change as Lob Labs improves or operates the Service. Lob Labs may modify, suspend, or discontinue features with reasonable notice when practicable.
3. Accounts and responsibilities
Customers are responsible for maintaining the confidentiality of account credentials, managing users they invite to their organization, providing accurate information, and using the Service lawfully.
Customers are responsible for ensuring that they have the necessary rights and permissions to submit contracts, documents, emails, and other information to the Service.
Customers remain responsible for decisions they make based on information stored or displayed in the Service, including decisions about renewals, cancellations, costs, and vendors.
Customers should notify Lob Labs promptly at support@RenewalVista.com if they suspect unauthorized access to their account.
Lob Labs uses security and access-control measures designed to protect customer accounts and information, including authentication controls, role-based authorization, tenant isolation, protected document access, and other measures described on the Security page.
4. Plans, trials, and billing
Renewal Vista offers Free, Standard, and Business plans as described on the Pricing page and during signup.
Paid subscriptions are processed through Stripe. Fees, taxes, and billing cycles are presented at checkout or in the Customer's billing settings. Except where required by law, paid fees are non-refundable.
Lob Labs may offer a trial period for paid plans. Trial availability, duration, and included features are presented during signup.
If a trial expires without an active paid subscription, the account may become read-only while the Customer retains access to review and export existing information and select an available plan.
Plan changes, cancellation, payment failures, and other billing events may affect access to plan-specific features. Lob Labs may suspend or limit access for unpaid amounts.
5. Customer data and documents
Customers retain ownership of and responsibility for the information and documents they submit to the Service, including ensuring that they have the necessary rights and permissions to provide that information.
Lob Labs processes customer-submitted information as necessary to provide, maintain, secure, and support the Service, as described in the Privacy Policy.
Renewal Vista is designed to preserve customer renewal information when plans change. Access to particular features, Intake methods, reminders, storage capabilities, or other functionality may depend on the Customer's current plan.
The Service is not a substitute for the Customer's own contract records, document retention systems, or business controls. Customers remain responsible for maintaining appropriate records and making their own business decisions.
6. Acceptable use
Customers and users may not:
- attempt to gain unauthorized access to the Service or another customer's account or data;
- interfere with or disrupt the Service;
- attempt to bypass security, authorization, or access controls;
- upload or transmit unlawful material or material they do not have the right to provide;
- use the Service to violate another person's or organization's rights;
- use the Service for fraudulent, abusive, or otherwise unlawful activity; or
- use the Service in a manner that could materially harm the Service, Lob Labs, or other customers.
Lob Labs may investigate suspected misuse and may suspend or terminate access, remove content, or take other appropriate action when it reasonably believes these Terms or applicable law have been violated.
7. Third-party services and availability
The Service relies on third-party providers for hosting, data storage, email, billing, and related functionality. Those providers have their own terms, privacy practices, availability, and limitations.
Lob Labs may modify, replace, or discontinue third-party dependencies when reasonably necessary to operate or improve the Service.
Lob Labs does not guarantee uninterrupted, timely, secure, or error-free availability of the Service.
8. Intellectual property
Lob Labs and its licensors retain all rights in the Renewal Vista software, website, branding, documentation, and other materials provided as part of the Service, except for customer-submitted data and content.
Customers receive a limited, non-exclusive, non-transferable right to access and use the Service during an active subscription or free plan entitlement, solely for the Customer's internal business purposes and subject to these Terms. Customers do not receive ownership of the Renewal Vista software or branding by using the Service.
9. Suspension and termination
Lob Labs may suspend or terminate access for misuse, unauthorized access, security concerns, nonpayment, violation of these Terms, or as required by law.
Customers may cancel paid subscriptions through the applicable billing or cancellation process. Cancellation stops future billing according to the plan's billing cycle; it does not by itself delete customer data.
After termination or cancellation, Lob Labs may retain or delete customer information according to the Privacy Policy, including backups, billing records, security logs, and information retained for legal or operational purposes. Customers remain responsible for exporting data they need before access ends.
10. Disclaimers
Renewal Vista is a software management tool. It is not legal, financial, accounting, procurement, insurance, or other professional advice.
Customers remain responsible for reviewing their contracts, renewal dates, cancellation deadlines, costs, and other business information and for making their own decisions.
Lob Labs does not guarantee that a Customer will avoid a missed renewal, cancellation deadline, payment, cost, penalty, or other business obligation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOB LABS LLC AND ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF LOB LABS LLC ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY THE CUSTOMER TO LOB LABS LLC FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations. In those jurisdictions, Lob Labs' liability is limited to the fullest extent permitted by law.
12. Indemnification
Customer will defend, indemnify, and hold harmless Lob Labs LLC and its officers, directors, members, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer content or data submitted to the Service; (b) Customer's use of the Service in violation of these Terms or applicable law; (c) Customer's failure to obtain necessary rights or consents; or (d) disputes between Customer and its users, vendors, or counterparties.
13. Governing law and venue
These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.
Exclusive venue for any dispute arising out of or relating to these Terms or the Service lies in the state courts located in Scott County, Minnesota, or in the United States District Court for the District of Minnesota, and each party consents to personal jurisdiction there.
14. Changes
Lob Labs may update these Terms from time to time. The Effective Date and Last Updated date on this page will be revised when material changes are made.
Material changes will be communicated by updating this page and, when appropriate, by email to the account's designated contact or by in-product notice. Continued use of the Service after the updated Terms become effective constitutes acceptance of the updated Terms.
